Use Form D to research private funds and offering relationships
Form D can help you identify an offering’s issuer, related people and disclosed sales-compensation recipients. Use the filing as a dated research record, then verify how those entities relate before adding them to a fund or distribution prospect list.

What to take away
- Distinguish the issuer, adviser, related person and compensation recipient.
- Check amendments before treating a filing’s figures as the latest available.
- A disclosed relationship is not a current commitment to your product.
The private-offerings workspace in BreakawayIQ. Filing-based records support research into disclosed relationships; the screen is not a list of investors ready to allocate.
Start with what the filing actually contains
Form D is a notice of an exempt securities offering. The form includes issuer details, related persons, offering information and sales-compensation disclosures. Those fields can help you discover an organization or a relationship to investigate; they are not a complete description of a private fund’s strategy or investor base.
Keep the filing identity and date with your notes. A fund’s marketed name may differ from the issuer’s legal name. If the product record and legal entity do not match cleanly, preserve the uncertainty instead of joining them because the names look similar.

Separate the roles around the offering
Create a simple relationship map before deciding whom to approach. The issuer is the entity named in the filing. A related person has a disclosed relationship to that issuer. A sales-compensation recipient appears in a different part of the form. An investment adviser or sponsor may require additional source work to connect reliably.
| Record | Research question |
|---|---|
| Issuer | Which legal entity is associated with this offering? |
| Related person | What relationship does the filing identify? |
| Compensation recipient | What distribution relationship is disclosed? |
| Adviser or sponsor | What additional evidence connects it to the offering? |
Read changes without double-counting
Look for amendments and check whether a newer filing changes the figures or named parties you are using. Do not add amounts from successive versions of the same offering as though every filing represented a new raise. Record the version supporting your current conclusion.
Similarly, a private-fund record disclosed through an adviser filing and a Form D issuer may refer to overlapping activity. A shared name is a lead for identity review, not sufficient evidence that the two records should be merged. Keep the source types visible until the relationship is established.
Turn a disclosed relationship into a research task
If a compensation recipient appears on an offering relevant to your market, investigate the recipient’s current business and the role it played. That can produce a useful question about distribution experience. It does not establish that the firm will accept a new sponsor, that the individual is still affiliated, or that a previous offering is still being sold.
For fund research, compare the issuer’s official materials with the dated filing. Keep stated strategy, reported offering figures and your own qualification notes separate. This makes later revisions easier and prevents a sales note from turning into an unsupported database fact.
BreakawayIQ includes filing-based fund and offering records with disclosed relationships. Identity overlaps and enrichment gaps remain, so review source context before exporting. Use the platform to organize discovery and the original filing to check the specific facts on which you plan to act.
Your research checklist
- Record issuer identity and filing date.
- Distinguish each party’s disclosed role.
- Check amendments and avoid summing repeated offering figures.
- Verify relationships before combining records or beginning outreach.
